MCWW Hub Terms of Service

1. Who we are and what these Terms cover

The Hub is operated by Motor City Wash Works, Inc., a Michigan corporation, 48285 Frank Street, Wixom, Michigan 48393 (“MCWW”, “we”, “us”). These Terms of Service (the “Terms”) are a binding agreement between MCWW and each person who creates an account, signs in or otherwise uses the Hub (“you”). By creating an account or using the Hub you accept these Terms and our Privacy Policy, which is incorporated by reference.

The Hub is a business-to-business tool. It is made available to MCWW employees and to distributors, dealers, sales representatives and other business partners that MCWW has authorized (“Authorized Users”). It is not offered to consumers, and it is not offered to anyone under 18.

If you are using the Hub on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company. Where your company has a separate written agreement with MCWW (for example a distributor agreement, dealer agreement or non-disclosure agreement), that agreement governs if it conflicts with these Terms on the same subject.

2. Accounts and access

Approval. An account gives you no access until an MCWW administrator approves it. MCWW may approve, decline, limit or revoke access at any time and for any reason, including a change in your employment or your company’s relationship with MCWW. Approval assigns your account a role (for example administrator, sales or distributor) and a set of permissions; you may use only the features your role permits.

One person, one login. Sharing login credentials is expressly forbidden. Your login is personal to you. You may not share your password, one-time codes or session with anyone else, allow anyone else to use your account, or use another person’s account. Each person who needs the Hub must have their own account; MCWW may suspend an account it believes is being shared and may hold the account holder responsible for everything done under it. You are responsible for everything done under your login until you tell us it has been compromised. If you believe your credentials have been lost, stolen or used by someone else, notify us immediately at privacy@mcww.com.

Security measures. We may require additional sign-in protections at any time, including multi-factor authentication, an approved business email domain, sign-in through your organization’s Microsoft account, or re-authentication after a period of inactivity. Access may be suspended until those requirements are met. We record sign-in events (including date, time, IP address, approximate location and browser) to protect the Hub and its users.

Accurate information. You must provide accurate, current information when you create your account and keep it up to date. Accounts created with false information or a non-business email address may be declined or removed.

3. Confidentiality

The Hub contains confidential and proprietary information of MCWW, including product configurations, part numbers, pricing (including MSRP, distributor net and customer net figures), discount structures, discount approval workflows, catalog and bill-of-materials data, engineering drawings and specifications, sales territory and prospect data, market analytics, and the design and workings of the Hub itself (together, “Confidential Information”). Everything you see in the Hub is Confidential Information unless MCWW has expressly published it.

You may use Confidential Information only to quote, sell, install and support MCWW products in the ordinary course of your authorized relationship with MCWW. You may not disclose it to any third party (other than a customer who needs a quote or agreement you are permitted to give them), and you may not use it to develop, source, price or sell competing products. Your confidentiality obligations continue after your access ends. Where you have signed a non-disclosure agreement with MCWW, that agreement applies in addition to this section and controls if the two conflict.

Distributors and partners are shown distributor pricing only. A customer-facing copy of a quote is generated for that purpose; you may not share the internal or distributor view of a quote with a customer or with anyone outside your company.

4. Quotes, agreements and electronic signatures

Quotes are prepared by you. The Hub calculates prices and builds bills of materials from data you enter and selections you make. You are responsible for reviewing every quote for accuracy and suitability before you send it, including site details, voltages, dimensions, quantities, options, freight, taxes and installation. A quote is an offer to sell only when MCWW says so in the quote or agreement itself, and only on the terms stated there. MCWW is not bound by a quote that contains a pricing, calculation or data error, and may correct or withdraw it.

Electronic signatures. The Hub can send agreements for electronic signature and can accept electronic signatures from customers, distributors and MCWW. You agree that electronic signatures, records and notices delivered through the Hub or its e-signature provider have the same effect as handwritten signatures and paper records, to the extent permitted by the U.S. Electronic Signatures in Global and National Commerce Act, the Michigan Uniform Electronic Transactions Act and similar laws. Do not sign on behalf of anyone you are not authorized to bind.

Approvals and discounts. Discounts and certain quotes require approval inside the Hub. An approval recorded in the Hub is an internal control, not a contract; the binding agreement is the signed document, purchase order or order acknowledgment issued under MCWW’s terms and conditions of sale.

5. Your content and customer data

You may enter information about your customers and prospects into the Hub, including business names, site addresses and the names, work email addresses and phone numbers of customer contacts (“Your Content”). You keep whatever rights you have in Your Content. You grant MCWW a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display and back up Your Content in order to operate and improve the Hub, to fulfil and support orders, and as otherwise described in the Privacy Policy.

You are responsible for Your Content. You represent that you have the right to enter it, that doing so does not breach any law or any obligation you owe to the customer, and that you will not enter anything you are not permitted to share with MCWW. Do not enter payment card numbers, bank account numbers, government identification numbers, health information or other sensitive personal information into the Hub.

MCWW may use aggregated, de-identified information derived from use of the Hub (for example, which products are quoted most often) for any lawful purpose, provided it does not identify you, your company or your customers.

6. Acceptable use

You agree not to:

• share your login credentials with anyone, let anyone else use your account, or use another person’s account;
• use the Hub for any purpose other than your authorized business with MCWW, or in violation of any law;
• scrape, harvest, copy, extract, export in bulk or systematically download catalog, pricing, customer, prospect, map or any other Hub data — this is expressly forbidden whether done manually, with browser developer tools, scripts, bots or browser extensions, or through any artificial-intelligence tool, agent, assistant or platform, and includes feeding Hub pages or data to an AI model as input, training material or context — except through the export features we provide for your ordinary use;
• reverse engineer, decompile or otherwise attempt to discover the source code, pricing logic, configuration rules or data models of the Hub;
• access or attempt to access accounts, data, quotes or features you are not authorized to see, or probe, scan or test the vulnerability of the Hub without our written permission;
• upload malicious code, or upload files, images or text that are unlawful, infringing, defamatory or that you do not have the right to share;
• use the Hub’s assistant, route planner or other automated features to generate content that misrepresents MCWW, its products or its pricing;
• interfere with the operation of the Hub or impose an unreasonable load on it; or
• remove or alter any proprietary notice, quote number, watermark or audit marking.

7. Intellectual property

The Hub, including its software, design, text, graphics, catalog structure, configuration and pricing logic, drawings, documentation, resource library and all data compiled by MCWW, is owned by MCWW or its licensors and is protected by copyright, trade secret and other laws. Except for the limited right to use the Hub in accordance with these Terms, no rights are granted to you. MCWW, Motor City Wash Works, the MCWW logo, CruzControl, NXT Wash, WashLink, AccuShot and other product names are trademarks of MCWW or its affiliates and may not be used without written permission.

Quotes, proposals, drawings and other documents the Hub generates for you may be used to sell and support MCWW products to the customer named on them. All other rights in those documents remain with MCWW.

If you send us suggestions or feedback about the Hub, we may use them without restriction or compensation.

8. Third-party services and links

The Hub relies on third-party services to operate, including cloud hosting, email delivery, electronic signature, text messaging, mapping and geocoding, and artificial-intelligence models. Those providers are listed in the Privacy Policy. The Hub may also link to third-party websites (for example a map provider or a customer’s website). MCWW does not control third-party services and is not responsible for their content, availability or practices. Your use of a third-party service may be subject to that provider’s own terms.

9. Assistant and automated features

The Hub includes features that use artificial-intelligence models to interpret requests, search the catalog, draft quotes, analyze markets and plan routes (the “Assistant”). The Assistant can make mistakes. Its output is a starting point for your own judgment, not advice, and not a representation by MCWW. You must review anything the Assistant produces before relying on it or sending it to a customer. MCWW is not liable for decisions made in reliance on Assistant output.

10. Availability, changes and support

We aim to keep the Hub available but do not promise uninterrupted or error-free operation. We may change, suspend or discontinue any part of the Hub at any time, with or without notice, including to perform maintenance, release updates or respond to a security concern. We may impose limits on storage, usage or features. Support is provided at our discretion through the channels shown in the Hub.

11. Suspension and termination

MCWW may suspend or terminate your access at any time, with or without notice, including if you breach these Terms, if your employment or your company’s relationship with MCWW ends, if we believe your account has been compromised, or if required by law. You may stop using the Hub at any time and may ask us to close your account.

On termination your right to use the Hub ends immediately. Sections 3, 5, 7, 9, 12, 13, 14, 16 and 17 survive. MCWW may retain quotes, agreements, audit records and other data as described in the Privacy Policy and as required for its business and legal obligations; quotes you created remain MCWW’s business records.

12. Disclaimer of warranties

THE HUB, ITS CONTENT AND ALL OUTPUT (INCLUDING QUOTES, PRICES, BILLS OF MATERIALS, DRAWINGS, MAPS, MARKET DATA AND ASSISTANT OUTPUT) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, MCWW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. MCWW DOES NOT WARRANT THAT THE HUB WILL BE SECURE, ERROR-FREE OR AVAILABLE, OR THAT ANY PRICE, CONFIGURATION OR DATA IN IT IS CORRECT OR CURRENT. NOTHING IN THESE TERMS IS A WARRANTY REGARDING ANY MCWW PRODUCT; PRODUCT WARRANTIES ARE STATED ONLY IN MCWW’S WRITTEN WARRANTY AND TERMS OF SALE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MCWW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE HUB OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. MCWW’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE HUB OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, AND DO NOT LIMIT MCWW’S OBLIGATIONS UNDER A SEPARATE SIGNED AGREEMENT FOR THE SALE OF PRODUCTS.

14. Indemnity

You will defend, indemnify and hold harmless MCWW and its affiliates, officers, directors, employees and agents from and against any claims, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to Your Content, your breach of these Terms or of a non-disclosure or distributor agreement with MCWW, your violation of law or of a third party’s rights, or any quote, agreement or representation you make to a customer that MCWW did not authorize.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms in the Hub with a new effective date and, for material changes, notify you by email or by a notice when you sign in. Continued use of the Hub after the effective date means you accept the updated Terms. If you do not agree, stop using the Hub and ask us to close your account.

16. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Hub will be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to their personal jurisdiction and venue. MCWW may nevertheless seek injunctive relief in any court to protect its Confidential Information or intellectual property. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. General

These Terms, the Privacy Policy and any separate written agreement between you (or your company) and MCWW are the entire agreement about the Hub and supersede prior discussions. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; MCWW may assign them to an affiliate or a successor to its business. Notices to MCWW must be sent to the address below, with a copy to privacy@mcww.com. Notices to you may be sent to the email address on your account. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship. Sections written in capital letters are drawn to your attention because they limit MCWW’s liability or your remedies.
